Bukujanji Seller Agreement

1. The Parties
This agreement is between:
- PT Bukujanji Indonesia ("Bukujanji", the "Platform") — operator of the marketplace.
- Organizer Owner / Seller ("you", the "Seller") — the user who creates a organizer account, completes KYC, and sells classes, events, or session packages through the Platform.
By activating your organizer account and ticking "I agree to the Seller Agreement" during onboarding, you become bound by the following terms.
2. Legal Status of the Relationship
Bukujanji acts as a marketplace agent under Article 1338 of the Indonesian Civil Code and Permendag 31/2023 on PMSE licensing. Bukujanji is not a party to the contract between Seller and Participant. Bukujanji is responsible for Platform operations, payment escrow, and trust & safety, but not for class content, instructor qualifications, or event delivery.
Your relationship with Bukujanji is not an employment, partnership, joint venture, or exclusive agency relationship. You are an independent provider using the Platform as a distribution channel.
3. Seller Obligations
You represent and agree:
- Identity: KYC data (ID card, selfie, NPWP if held, bank account) is true, current, and your own. Identity fraud violates Article 35 of the ITE Law.
- Qualifications: instructors shown have the appropriate certification/qualifications for the classes offered.
- Venue fitness: the venue (partner outlet or self-owned) is safe, meets hygiene standards, and has evacuation routes.
- Content: event descriptions, photos, and benefit claims are accurate and not misleading (Law 8/1999 — Consumer Protection Law Articles 9–10).
- Attendance: you show up on time to deliver booked events. Last-minute cancellations (< 6 hours) without force majeure may incur reputation penalties and commercial fines.
- Tax compliance: you report income from the Platform pursuant to Indonesian tax law.
- Non-discrimination: you do not refuse participants on the basis of ethnicity, religion, race, group, gender, or disability — unless there is a specific medical/physical limitation for the class.
4. Pricing and Payment
- You set the ticket price, course-package price, and membership fees.
- The price shown to Participants is the final sale price (inclusive of any taxes you are liable for). Payment-gateway admin fees are shown separately and are pass-through from Midtrans.
- Participant payments are processed by Midtrans (a Bank Indonesia-licensed PJSP) and held in escrow until 24 hours after the event, unless a dispute is active.
5. Marketplace Fee
Bukujanji takes a marketplace fee of a fixed percentage (default 3% of the ticket price, subject to change with 30 days' notice) to cover:
- Payment gateway processing.
- Trust & safety, customer support, and dispute resolution.
- Platform infrastructure (servers, notifications, push, email, WhatsApp).
The fee is deducted at settlement (release of escrow funds), not charged to Participants.
6. Settlement (Fund Release)
- Trigger: 24 hours after the event ends with no active dispute, funds release from escrow to the Seller's bank account.
- Revenue share: if there is a partnership with an outlet (the event is hosted at a partner outlet), revenue split follows the OrganizerPartnership.outletRevenueSharePct + organizerRevenueSharePct agreed by both parties.
- Bank account: funds are sent to the bank account registered during KYC. Changes require re-KYC for verification.
7. Tax
- Bukujanji does not withhold any tax from funds settled to you. You receive the full amount shown in your settlement breakdown.
- Tax obligations on your income are entirely your own responsibility, including reporting and payment according to your tax status.
- Bukujanji does not issue withholding certificates and does not act as a withholding agent for your transactions.
- If your tax status requires different treatment, please consult your own tax advisor.
8. Refunds and Disputes
- Refunds follow the Bukujanji Refund & Cancellation Policy. You are bound by the time-decay rules for Participant-initiated cancellations.
- Seller-initiated cancellation: the Participant receives a 100% refund and Bukujanji waives the marketplace fee for that transaction.
- Disputes: when a Participant complains, funds remain held in escrow until the dispute resolves. You must respond to clarification requests within 3×24 business hours.
- Bukujanji's dispute decisions are administrative; if still dissatisfied, either party may pursue BPSK or the District Court.
9. Content and Licence
You grant Bukujanji a non-exclusive, royalty-free, sublicensable licence to display, distribute, and promote your organizer description, event photos, and other content you upload, across all Bukujanji channels (the Platform, social media, email marketing). The licence runs while your organizer account is active; on termination we cease use unless a legal obligation requires retention.
You warrant that you own all content uploaded and do not infringe third-party rights.
10. Communication with Participants
- You may broadcast classes, promos, and reminders to your organizer members through Bukujanji features (email by default; WhatsApp if opted in).
- You must not use participant contacts obtained from booking rosters for telemarketing outside your organizer or to sell data to third parties (PDP Law violation).
- Bukujanji provides a 1-click unsubscribe on all marketing communications. Participants who unsubscribe must not be contacted again via the Platform.
11. Suspension and Termination
Bukujanji may suspend or terminate your organizer account if:
- You materially breach this Agreement, the Organizer Guidelines, or the Terms of Service.
- You repeatedly fail to show up at booked events without valid cause.
- There are indications of fraud, KYC falsification, or illegal activity.
- You consistently receive low organizer ratings and ignore corrective warnings.
Before termination we will contact you for clarification (except in high-risk cases). Lawfully held escrow funds will release on schedule; funds tied to disputed transactions remain held until resolution.
You may end your account at any time via Settings → Delete Account, after:
- Completing all booked events, or
- Refunding participants in full for cancelled events.
12. Force Majeure
A party affected by force majeure (natural disasters, declared pandemics, government order, critical-infrastructure outage) is not liable for delay/failure to perform obligations during the event. The affected party must notify the other within 48 hours.
13. Indemnification
You agree to indemnify Bukujanji against third-party claims arising from:
- Your breach of this Agreement.
- Physical injuries in classes you organise (unless proven negligence on Bukujanji's part).
- Intellectual-property infringement by content you upload.
- Tax claims arising from your Platform income.
14. Limitation of Bukujanji's Liability
Bukujanji's total liability to you (if proven negligent by a court) is limited to the marketplace fees you paid Bukujanji in the preceding 6 months.
15. Governing Law and Dispute Resolution
This Agreement is governed by the laws of the Republic of Indonesia. Disputes are resolved by good-faith negotiation; failing that, by the South Jakarta District Court, unless a specific forum is required by law.
16. Changes to the Agreement
Bukujanji may update this Agreement with 30 days' notice for material changes (e.g. marketplace fee changes). You may terminate the account if you disagree; continued use after the effective date means acceptance.
